Terms and conditions governing the use of our event management services

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Encape Escape ("Company," "we," "our," or "us") regarding your use of our website encape-escape.com and event management services.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

3. Services Provided

Encape Escape provides comprehensive event management services including but not limited to:

  • Corporate event planning and management
  • Wedding and celebration planning
  • Trade show and exhibition management
  • Entertainment and show production
  • Private function coordination
  • Venue sourcing and vendor management
  • Event coordination and on-site management

4. Service Agreements

4.1 Quotations and Proposals

All quotations and proposals are valid for 30 days unless otherwise specified. Prices are subject to change based on final event requirements and market conditions.

4.2 Contract Formation

A binding contract is formed when:

  • You accept our written proposal
  • Initial deposit payment is received
  • Both parties sign the event management agreement

4.3 Event Planning Process

Our event planning process involves consultation, proposal development, contract execution, planning phases, and event execution. Timelines and deliverables will be specified in individual contracts.

5. Payment Terms

5.1 Payment Schedule

Unless otherwise agreed in writing:

  • 50% deposit required upon contract signing
  • 25% payment due 60 days before event date
  • Final 25% payment due 14 days before event date

5.2 Late Payments

Late payments may incur interest charges of 1.5% per month on overdue amounts. Events may be cancelled if payments are not received as scheduled.

5.3 Additional Costs

Any additional services or changes requested after contract signing may incur extra charges. All additional costs must be approved in writing before implementation.

6. Cancellation and Refunds

6.1 Client Cancellation

Cancellation fees apply as follows:

  • More than 6 months before event: 25% of total contract value
  • 3-6 months before event: 50% of total contract value
  • 1-3 months before event: 75% of total contract value
  • Less than 1 month before event: 100% of total contract value

6.2 Company Cancellation

We reserve the right to cancel services in cases of non-payment, breach of contract, or circumstances beyond our control. In such cases, we will provide reasonable notice and refund applicable payments.

6.3 Force Majeure

Neither party shall be liable for delays or cancellations due to circumstances beyond their control, including but not limited to natural disasters, government restrictions, or pandemic-related limitations.

7. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information about event requirements
  • Make timely decisions and approve plans within agreed timeframes
  • Make payments according to the agreed schedule
  • Obtain necessary permits and licenses where required
  • Comply with venue rules and regulations
  • Provide access to venues and facilities as needed
  • Communicate changes or concerns promptly

8. Our Responsibilities

Encape Escape commits to:

  • Provide services in a professional and timely manner
  • Use reasonable skill and care in service delivery
  • Communicate regularly about event progress
  • Coordinate with vendors and suppliers effectively
  • Provide on-site management as agreed
  • Maintain confidentiality of client information
  • Deliver services as specified in the contract

9. Limitation of Liability

9.1 Service Limitations

Our liability is limited to the direct costs of services provided. We are not liable for indirect, consequential, or special damages including but not limited to loss of profits, reputation, or business opportunities.

9.2 Third-Party Services

We are not liable for the acts or omissions of third-party vendors, venues, or suppliers. We will use reasonable efforts to select reputable service providers but cannot guarantee their performance.

9.3 Maximum Liability

Our total liability for any event shall not exceed the total amount paid by the client for our services related to that specific event.

10. Intellectual Property

10.1 Event Concepts

Event concepts, themes, and creative ideas developed by Encape Escape remain our intellectual property unless specifically transferred to the client in writing.

10.2 Client Materials

You retain ownership of materials provided to us and grant us license to use them solely for the purpose of providing our services.

10.3 Photography and Marketing

We may photograph events for marketing purposes unless specifically prohibited. Clients will be notified of any intended commercial use of event images.

11. Confidentiality

We maintain strict confidentiality regarding client information, event details, and guest lists. This confidentiality extends to all team members and subcontractors involved in event delivery.

Clients similarly agree to maintain confidentiality regarding our business practices, pricing structures, and proprietary processes.

12. Insurance and Indemnification

12.1 Our Insurance

We maintain appropriate professional indemnity and public liability insurance. Insurance certificates are available upon request.

12.2 Client Insurance

Clients are advised to obtain appropriate event insurance coverage. We are not responsible for damages to client property or injuries to guests unless directly caused by our negligence.

12.3 Indemnification

Clients agree to indemnify us against claims arising from their guests' actions, failure to obtain required permits, or breach of venue agreements.

13. Website Terms

13.1 Acceptable Use

When using our website, you agree not to:

  • Use the website for unlawful purposes
  • Attempt to gain unauthorized access to our systems
  • Submit false or misleading information
  • Interfere with website functionality
  • Violate any applicable laws or regulations

13.2 Content Accuracy

We strive to maintain accurate information on our website but cannot guarantee the completeness or accuracy of all content. Information is subject to change without notice.

14. Data Protection

15. Dispute Resolution

We encourage clients to contact us directly to resolve any concerns. Most issues can be resolved through open communication and collaboration.

15.2 Formal Disputes

Any disputes that cannot be resolved informally shall be subject to mediation before pursuing legal action. Mediation will be conducted in Leeds, United Kingdom.

15.3 Governing Law

These Terms are governed by the laws of England and Wales. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Modifications

We reserve the right to modify these Terms at any time. Changes will be posted on our website with an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance of the modified Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect. The unenforceable provision shall be replaced with a valid provision that most closely reflects the original intent.

18. Entire Agreement

These Terms, together with our Privacy Policy and any specific event contracts, constitute the entire agreement between you and Encape Escape regarding our services. These Terms supersede all prior agreements, understandings, and communications.
